ABSTRACT

Under the subscribed capital system, the qualification of shareholders is obtained based on the commitment of subscribed capital. Although the rights of shareholders are obtained based on the identity of shareholders, it does not mean that their rights can be fully enjoyed. In practice, there are disputes about whether and how the voting rights of shareholders with defective capital contribution are limited. This paper attempts to discuss this issue from different angles.
